Terms of Use

These Terms of Use ("Terms") govern your use of the SyncHarbor application ("the app"), provided by Code Nexus LLC ("we," "us"). By downloading or using SyncHarbor, you agree to these Terms. If you do not agree, do not use the app.

1. License

We grant you a personal, non-exclusive, non-transferable, revocable license to use SyncHarbor on Apple-branded devices you own or control, in accordance with Apple's App Store Terms of Service and these Terms. You may not reverse engineer, redistribute, or resell the app.

2. What SyncHarbor does

SyncHarbor downloads copies of files from your own Autodesk Fusion Team / A360 account to a local folder on your Mac. It operates one-way and read-only: it never uploads to, modifies, or deletes anything in your Autodesk account. You are responsible for having the rights to access the files you sync, and for complying with Autodesk's own terms of service.

3. Subscriptions, free trial, and billing

• SyncHarbor is offered as an auto-renewable subscription (monthly or annual), sold through the Apple App Store.
• New subscribers receive a 7-day free trial. Payment is charged to your Apple Account after the trial.
• Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period.
• You can manage or cancel your subscription anytime in your Apple Account settings. We do not process payments and cannot issue charges or refunds directly — billing is handled entirely by Apple.

4. Acceptable use

You agree to use SyncHarbor only for lawful purposes and only with accounts and files you are authorized to access. You may not use the app to infringe any third party's rights.

5. Your data and backups

SyncHarbor is a convenience tool, not a backup or archival guarantee. While it aims to faithfully mirror your cloud files, we do not warrant that every file will be downloaded completely or without error. You remain responsible for maintaining your own backups of important data.

6. Relationship to Autodesk

SyncHarbor is an independent application. It is not affiliated with, endorsed by, or sponsored by Autodesk, Inc. Autodesk, Fusion, Fusion 360, Fusion Team, and A360 are trademarks or registered trademarks of Autodesk, Inc.

7. Disclaimer of warranties

The app is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, Code Nexus LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising from your use of or inability to use the app. Our total liability for any claim relating to the app will not exceed the amount you paid for it in the twelve months preceding the claim.

9. Termination

You may stop using the app at any time. We may suspend or terminate the license if you breach these Terms.

10. Apple App Store — Licensed Application EULA

These Terms are your End-User License Agreement ("EULA") for SyncHarbor. Where SyncHarbor is obtained through the Apple App Store, the following also apply, and Apple's standard Licensed Application End User License Agreement is incorporated into these Terms by reference:

• Acknowledgement. This EULA is concluded between you and Code Nexus LLC only, and not with Apple. Code Nexus LLC, not Apple, is solely responsible for SyncHarbor and its content. This EULA does not provide usage rules that conflict with the Apple Media Services Terms and Conditions.
• Scope of license. The license granted to you is a non-transferable license to use SyncHarbor on any Apple-branded products that you own or control, and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that it may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
• Maintenance and support. Code Nexus LLC is solely responsible for providing any maintenance and support services for SyncHarbor. You and Code Nexus LLC acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to SyncHarbor.
• Warranty. Code Nexus LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of SyncHarbor to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for SyncHarbor to you; to the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are Code Nexus LLC's sole responsibility.
• Product claims. You and Code Nexus LLC acknowledge that Code Nexus LLC, not Apple, is responsible for addressing any claims by you or any third party relating to SyncHarbor or your possession and/or use of it, including product-liability claims, any claim that SyncHarbor fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer-protection, privacy, or similar legislation.
• Intellectual property rights. In the event of any third-party claim that SyncHarbor or your possession and use of it infringes that third party's intellectual property rights, Code Nexus LLC, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
• Developer name and address. SyncHarbor is provided by Code Nexus LLC, 5101 E. La Palma Ave, Suite 1012, Anaheim Hills, CA 92807, USA. Any questions, complaints, or claims regarding SyncHarbor should be directed to: telephone +1 714 451 5732; email [email protected].
• Third-party terms. You must comply with applicable third-party terms of agreement when using SyncHarbor — for example, Autodesk's terms of service for the cloud files you access.
• Third-party beneficiary. You and Code Nexus LLC acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.

11. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.

12. Changes

We may update these Terms from time to time; material changes will be posted here with a new date. Continued use after changes means you accept them.
